- The Defy saga continues...A few weeks ago, I told you my personal history with MCNs and how this industry, one that was built to revolutionize entertainment, has instead spent years taking advantage of creators and investors alike. In the aftermath of that video, we've received an overwhelming amount of support from viewers, news publications, and other Creators, and I cannot be more grateful because after months of silence from all relevant parties, that groundswell of noise has finally gotten us a response...though it's not a particularly hopeful one. So today, I want to focus not on Defy, but the response we received from the bank that seized all of their funds -- Ally -- in order to teach you about the way banks work and the tactics PR teams use to direct our attention away from the real issues.

from a business side getting involved with legal problems with other companies will never be smart to promote since it gives a bad reputation and could cause problems for the company's dealings with other companies. Remember KRplus might be a platform for you and me but it is first and foremost a business and it does not want to lose money or create problems for itself just cause of its users

Justice for whom? Ally Bank isn't the bad guy here, they are stuck in the middle on this. Ally Bank is dividing what's left of the money according to law. The creators just happen to be on the bottom of that list. Therefor this can't be criminal, because it's the law. Unfair, maybe but than you have to find out who it's unfair to because it looks like this whole situation is unfair to all parties. This is MatPats attempt to vilify Ally Bank and that could be criminal because he is spreading false truths damaging the reputation of Ally Bank and they could have an avenue to go after MatPat for any losses. MatPat is a larger fish in the pound but the banks are sharks, they've played this game 1000 times before, and you don't want the angry sharks to notice you because you could be gobbled up.
@@bloodtopaz8816 Did you miss the point where he said that none of that money they took belonged to Defy media in the first place. The deal they had in place with Defy was 100% passthrough, that is 100% of the money they earned was supposed to go to them. Defy illegally spent that money as well as the money that Ally Bank had loaned them. That money never belonged to Defy which means it doesn't belong to Ally or anyone Defy owed money too (aside from the creators of course). In his first video he didn't say anything bad about Ally Bank, he just pleaded with them give back the money which is rightfully (and contractually) owed to the creators. In this video he's responding to Ally Banks response which made it sound like that money was Allies and not the creators. I suppose Ally Bank could lose some customers to this but if anything it should be a wakeup call to them that people are angry about their apparent lack of care for the people they are supposed to represent. If they tried to sue MatPat you can be sure it would have major adverse effects on Ally Bank (even if they somehow won you can be sure major news outlets would be covering the story and people would move to a more trustworthy bank), if they listen and do the right thing then it will look good on them and could turn a bad situation into a profitable one (people will hear they helped the little guy and didn't steal money that wasn't there's in the first place). If I had an Ally Bank account right now I might move it to another bank but it would be because I don't like the way they are handling the situation so far, not just because MatPat (rightfully) said some bad things about them.

If anyone messed up, it’s MatPat here. Not only are his legal arguments laughable BS, but he never should’ve forfeited that last paycheck that Defy requested to delay the payment of.
He’s mad because he got played, and he knows there’s hardly any legal ground supporting his position. Since he refrained from accepting his paycheck on time, it remained as Defy’s money when they filed for bankruptcy. If anything, “one of the most humble people in the world” just got humiliated in front of the whole world. For his sake, I hope he’s hired a lawyer to help him navigate through this mess.

I don't "hate" MatPat. I don't believe I ever said that. I hate that he's deceiving millions of people (mostly kids) by spreading misinformation about a subject that he's admittedly not familiar with.
He acts like Ally Bank doesn't have a stake in Defy's assets (laughably claiming they "gambled" their loan away) and this is wrong. He acts like Ally Bank is this evil corporation that's committed this unheard of atrocity, but everything that's been described is routine in bankruptcy proceedings. He acts like his situation is unique, when it's actually common for companies on the verge of bankruptcy to behave as unethical as Defy has.
Don't look at this as a unique situation. Learn from his mistakes, because what he described is common out in the world. Employers who are going under will knowingly lie to you as an employee and say that they're merely "restructuring" as they prepare to sell off their assets. The reason they lie is because they don't want you to be looking for another job and jump ship while they're the only ones left to pick up the pieces.
Take it from me dude. Explain this situation to your parents and ask for their thoughts and advice. It'd be best to talk with someone who works in business (I have a grandma that runs a small real estate business) but talking to someone who is paying off a home mortgage should be able to give you a decent explanation on the topic of bankruptcy and tell you about the kind of shady things employers will do.

The thing is, most companies run this way, some, with good leadership are successful, others are not and some scoundrels play passing the parcel with their company to sell it to the next guy who know nothing better. There have bneen more evil schemes than this, wonder how Lehman's Bank sunk in 2008 while AIG, which insured it's loans against default but then backed out of it's promise just to be bailed by the government with about 80 billion usd.

From what I understand its not really KRplus's fault. They still gave the money out. It was Defy who kept the money and Ally who is trying to keep it for themselves. Personally I feel that KRplus had almost no part in this whole situation. Sure they could have probably sent more money out but then again I don't know how KRplus's pay works.

Hey Matt Pat, I just came out a law exam dealing with Bankruptcy and Insolvency act in Canada and wanted to give you some tips (I know your case is a US case and thus some laws will be different, but both systems run under common law and should have many similarities).
In Canada, the dispersement of assets is typically done by an officer of the court called a Bankruptcy trustee (who is obligated to act in the best interest of the creditors). In the event of bankruptcy priority works as follows
1) Unpaid suppliers (irrelevant in this case)
2) SECURED Creditors -> Creditors who loaned using a specific asset for collateral (for example, the collateral was the building). These creditors have first access to that building.
3) Preferred Creditors -> the most relevant point for preferred creditors is: "Includes up to 6 months unpaid employee wages"
4) Unsecured General Creditors -> These people have last dibs on the assets.
In your case, the thing that you have to demonstrate and prove is the fact that you and the other KRplusrs should be seen as employees and thus will recieve higher priority compared to unsecured creditors (which could potentially be Ally, although I am not to sure since I do not have all the material facts)
Edit: As rightly mentioned below, there is also the issue of whether or not the cash generated by KRplusrs should be seen as property owned by Defy. That is a very valid point and is another interesting case to argue.
Little Disclaimer: although I have taken a few courses in business law and administration in Canada always consult your lawyer before making a decision based on what i have said.

First, thanks for explaining this so that someone who has never been near a law exam, let alone one on B&I, can understand.
If I'm following the issue in this case correctly, though, I think the issue is whether the money can (or should) be considered part of DEFY's assets in the first place, let alone for the purposes of disbursement, since technically that money never belonged to DEFY but only passed through their accounts due to a procedural technicality.
I think other commentators are correct in saying that it'll probably come down to whatever language was used in the contracts each creator had with DEFY (and yeah, the creators are screwed), but it's still shedding light on a dubious and unnecessarily exploitative practice. Hopefully it'll put enough pressure on YT to change how they do business (and force creators to do business) so we don't see more and more of this in the future.
Ally is 100% a secured creditor. They're a bank. Their loans are going to be secured with a GSA
What I'm not understanding is why the KRplusr cash which should have been held in trust is being treated as an asset of defy
@@mookosh Its likely Defy was not putting it in a trust to inflate their books and make it look like revenue. If the money was in a trust, any bookie would be able to see it was not Defy's money. So they likely never set up a trust for it to go into. Probably out of inexperience at first, but then realized that nobody noticed it wasnt, so they could use the money for the You-tubers as Revenue instead of Trust money. Thus leading to this big heist.

@@04beni04 One of the things that needs to be taken into account is the type of loan that Ally provided to DEFY. If it was secured by cash, then the creators are royally screwed. While this type of arrangement isn't common in business these days, it does still happen - after all, apparently, the fat coffers was what DEFY allegedly was using to lure new investors. SO, hopefully, Ally either offered a tangible assets loan (for the equipment and any studios purchased) or that it was unsecured, which places them on the end of the list.
U Bankruptcy courts tend to assign an officer to provide relatively impartial decision-making in regards to the company-in-question's liquid and convertible assets.
The other thing to take into account is the DEFY entity that was used to establish the accounts possessing the funds being discussed. If it was a full-corp, then that's likely better for the TY creators. Always a challenging game when companies start to play shell games with the cash.

Probably not and never will. See even though that was money they worked for and earned they will not receive it as any lawyer worth their salt will demonstrate the dangerous precedent such a decision would create. This pass through business model is not unique to MCNs. Uber does it when paying drivers. As does Lyft and other industries. The hyperinflation of company evaluations that u see w defy and others is not dissimilar to what happened in 08 with the housing market. There was nothing behind these assets which were the collateral for the loans. In the end what a decision in their favor would result in is allowing individuals to sue the banks for this money. Causing the banks hardship they could collapse or just loose money or close just like 08. If MatPat gets his money it could severely depress the US economy. TLDR; if the banks can’t get their pound of flesh too we all suffer because the banks will close.

He should start another channel where he goes over this stuff more often because there are so many things that the government and world in general does to us that we don’t even know they’re doing. Even if it uploads a ton less, or if it’s just a livestream or something once a month, it’s important that people understand just how much the big businesses in this country hold a monopoly over us. Instead of having a King and ruling class, America is run by those with money. That needs to change and the only way to do so is to educate people about how the system works.
